Terms & conditions
These terms govern your use of services from Extreme Overkill Ltd. By engaging our services you agree to them. If you have any questions, please get in touch before going ahead.
01About us
Extreme Overkill Ltd is a company registered in England and Wales (Company No. 17266165), with its registered office at Suite A82, James Carter Road, Mildenhall, IP28 7DE.
Web hosting and maintenance services are delivered under our trading name Zenlabra. References to "we", "us" or "Extreme Overkill" in these terms mean Extreme Overkill Ltd.
02Services
We provide digital services and business project management, including but not limited to web hosting, site maintenance, form monitoring, technical triage, client account management and project co-ordination. The specific services provided to you will be set out in your service agreement or onboarding documents.
Services delivered under the Zenlabra brand are subject to these terms and are legally provided by Extreme Overkill Ltd.
03Engaging our services
A contract is formed when we confirm acceptance of your instructions in writing, or when we begin delivering services at your request. All service agreements are subject to these terms unless otherwise agreed in writing. We may decline any engagement at our discretion.
04Your responsibilities
- Provide accurate and up-to-date information when asked
- Respond to communications in reasonable time
- Make sure any content, materials or access you give us doesn't infringe third-party rights
- Tell us promptly about changes that may affect the services
- Send account and billing queries to accounts@extremeoverkill.uk
05Fees and payment
Fees are agreed in writing before work starts. Invoices are issued through our automated billing platform from billing@extremeoverkill.uk, which is send-only, so please don't reply to billing emails. Send payment and invoice queries to accounts@extremeoverkill.uk.
Payment terms are 14 days from the invoice date unless agreed otherwise in writing. Late payment may lead to suspension of services, and we may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
06Service continuity
We take reasonable steps to keep our services available and reliable, but we can't guarantee uninterrupted service and aren't liable for outages caused by factors outside our reasonable control, including third-party infrastructure, internet connectivity or force majeure events. Planned maintenance will be communicated in advance wherever possible.
07Intellectual property
Intellectual property we create while delivering services remains ours unless explicitly transferred to you in writing. Content and materials you provide remain yours, and you grant us a licence to use them only to deliver the agreed services.
08Confidentiality
We treat all client information as confidential and won't disclose it without your consent, except where the law requires it or where it's needed to deliver the services (for example, our billing platform). We expect the same of you for any confidential information we share.
09Data protection
We handle personal data in line with UK GDPR and our Privacy Policy.
10Limitation of liability
To the fullest extent permitted by law, our total liability to you in connection with the services is limited to the total fees you paid in the 12 months before the claim. We're not liable for indirect or consequential losses, loss of profit, loss of data or damage to reputation.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be excluded by law.
11Termination
Either party may end a service agreement with 30 days' written notice unless agreed otherwise. We may suspend or end services immediately if:
- Payment is more than 14 days overdue
- You are in material breach of these terms
- Continuing would break any applicable law
On termination, any outstanding fees become payable immediately.
12Changes
We may update these terms or our services from time to time and will give reasonable written notice of material changes. Continuing to use our services after notice means you accept the updated terms.
13Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
